These Website Terms of Use (these "Terms") govern your access to and use of the website located at simeras.ai, including any subdomains and any content we make available through it (together, the "Site"). The Site is operated by Simeras, Inc., a Delaware corporation ("Simeras," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Site.

These Terms govern the Site only. They do not govern access to or use of the Simeras platform, any pilot, simulation, deliverable, or output, or any customer workspace. Those are governed exclusively by a separate written agreement between Simeras and the customer and by the documents that agreement incorporates. Nothing on the Site creates a customer relationship or any obligation on Simeras to provide services.

1. What the Site is

The Site is an informational website. It describes Simeras and its behavioral simulation platform and provides a way to contact us. The Site does not provide any simulation, prediction, analysis, or other AI-generated service to visitors, does not accept customer data, and does not require or offer user accounts.

The Site does not use analytics tools, advertising pixels, or tracking cookies, and does not currently offer forms; you contact us by email. If we add analytics or forms, our Privacy Notice will describe them before they go live, and any information collected through them will be handled as that Notice describes.

Information on the Site is provided for general informational purposes. It is not an offer to sell or a solicitation to buy any product or service, and it is not a representation that any product, feature, capability, or result described will be available to you or will perform in any particular way. Descriptions of the platform, its outputs, and its performance are general in nature; the scope, delivery, and measurement of any Simeras service are defined only in a signed customer agreement.

Nothing on the Site constitutes business, financial, investment, legal, marketing, or other professional advice.

2. Permitted use

You may access and view the Site for your own informational purposes and for evaluating whether to contact Simeras about its services. You may use the Site only in compliance with these Terms and applicable law.

3. Prohibited use

You may not:

use the Site in any way that violates applicable law or regulation;
use any robot, spider, scraper, crawler, or other automated means to access, copy, or monitor the Site or its content, except for search engines operating in accordance with our robots.txt file;
copy, reproduce, republish, distribute, display, or create derivative works from the Site's content, except as permitted in Section 4;
use the Site's content, or any data derived from it, to train, fine-tune, evaluate, or benchmark any machine-learning or artificial-intelligence model;
frame, mirror, or deep-link to the Site in a way that misrepresents its source or your relationship to Simeras;
attempt to gain unauthorized access to the Site, its hosting infrastructure, or any system or network connected to it;
interfere with the operation of the Site, including by imposing an unreasonable load on it or introducing malicious code;
impersonate Simeras, any Simeras personnel, or any other person, or misrepresent your affiliation with any person or entity when contacting us; or
remove, obscure, or alter any copyright, trademark, or other proprietary notice on the Site.

4. Intellectual property

The Site and all of its content, including text, graphics, images, logos, page design, software, and the selection and arrangement of the foregoing, are owned by Simeras or its licensors and are protected by copyright, trademark, and other intellectual-property laws. Except as expressly permitted in these Terms, no right, title, or interest in the Site or its content is transferred to you.

You may print or download a reasonable number of pages or extracts from the Site for your personal or internal business reference, provided you keep all proprietary notices intact and do not modify the content.

"Simeras," "Atlas," "Horizon," and the Simeras logo are trademarks or service marks of Simeras, Inc. Other names and marks on the Site belong to their respective owners. You may not use any Simeras mark without our prior written consent.

5. Contact submissions and feedback

If you contact us by email or through any form we later add to the Site, you represent that the information you provide is accurate and that you are authorized to provide it. We may use your contact details to respond to your inquiry and to communicate with you about Simeras as described in our Privacy Notice. Submitting a form or email does not create a customer relationship or any obligation on Simeras to respond or to provide services.

If you send us comments, ideas, or suggestions about Simeras or its services ("Feedback"), you grant Simeras a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use the Feedback for any purpose without obligation to you. Do not send us confidential information through the Site; any confidential exchange must take place under a signed non-disclosure agreement.

6. Third-party sites and content

The Site may contain links to third-party websites, services, or content. Simeras does not control and is not responsible for them, and a link does not imply endorsement. Your use of any third-party site is governed by that site's terms and privacy practices.

7. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. SIMERAS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS CURRENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMERAS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMERAS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the fullest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Simeras and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or your misuse of the Site.

10. Changes to the Site and to these Terms

We may change, suspend, or discontinue any part of the Site at any time without notice.

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. Your continued use of the Site after a revision is posted constitutes acceptance of the revised Terms. These Terms govern only the Site; any change to these Terms does not change any signed agreement between Simeras and a customer.

11. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that any such dispute will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. Nothing in this Section prevents Simeras from seeking injunctive or other equitable relief in any court of competent jurisdiction.

12. General

The Site is operated from the United States and is directed to business users. We make no representation that the Site is appropriate or available in other locations; if you access it from elsewhere, you are responsible for compliance with local law. The Site is not directed to children, and we do not knowingly collect personal information from anyone under 18 through the Site.

These Terms, together with the Privacy Notice, are the entire agreement between you and Simeras regarding the Site. If any provision is held unenforceable, the remaining provisions remain in effect. Simeras's failure to enforce any provision is not a waiver of it. You may not assign these Terms; Simeras may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries of these Terms.
